By providing your mobile phone number, you understand that you will receive transactional automated SMS messages from the Merchant, directly or through ChargeAfter’s technology platform (and, for purposes of these Terms of Use, any references to messages sent by the Merchant shall include messages sent by either of the foregoing means). Such messages are related to your financing application, and may include application links, document and signature requests, and application status updates. Message frequency may vary. Message and data rates may apply. You may opt out at any time by texting “STOP“.
- Automated messages are sent by or on behalf of the Merchant, including through the use of ChargeAfter’s platform. Users can expect to receive messages related to your financing application, including application links, document and signature requests, and application status updates.
- You can cancel the SMS service at any time. Just text “STOP” to the short code. After you send the SMS message “STOP,” the Merchant will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from the Merchant. If you want to join again, just sign up as you did the first time and the Merchant will start sending SMS messages to you again.

THE SMS SERVICE IS PROVIDED “AS IS” AND WITHOUT ANY WARRANTY OR CONDITION WHATSOEVER, EXPRESS OR IMPLIED. NEITHER CHARGEAFTER NOR THE MERCHANT WARRANTS THAT THE SMS SERVICE SHALL BE ERROR-FREE OR UNINTERRUPTED. CHARGEAFTER AND THE MERCHANT DISCLAIM ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, PERFORMANCE, ACCURACY, RELIABILITY AND NON-INFRINGEMENT. CHARGEAFTER’S AND THE MERCHANT’S CUMULATIVE LIABILITY TO YOU FOR ANY LOSS, COST OR DAMAGE RESULTING FROM ANY CLAIMS, DEMANDS, OR ACTIONS ARISING OUT OF OR RELATING TO THE SMS SERVICE SHALL NOT EXCEED $1.00. IN NO EVENT SHALL CHARGEAFTER OR THE MERCHANT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NEITHER CHARGEAFTER NOR THE MERCHANT IS RESPONSIBLE FOR FAILURES OR DELAYS CAUSED BY WIRELESS CARRIERS, NETWORK OUTAGES, OR YOUR MOBILE DEVICE.

- This Agreement and any dispute arising out of or related to this Agreement will be governed by and construed in accordance with the laws of the State of Delaware, excluding its conflict of laws principles. With respect to any dispute arising out of or in connection with this Agreement, the parties’ consent to the exclusive personal jurisdiction of and venue in the courts located in Wilmington, Delaware.
- Should any term of this Agreement be declared void or unenforceable by any court of competent jurisdiction, such declaration shall have no effect on the remaining terms hereof, which shall be interpreted so as to give maximum effect to the intention of the void or unenforceable term.
